Terms of service

Version 2Effective 24 October 2026

0.1 These terms are the agreement between RetailPower and the shop that uses the RetailPower service.
0.2 Next review date: 24 April 2027. If a rule of Egyptian law that cannot be waived conflicts with a clause here, the law prevails and the rest of these terms stay in force.
0.3 These terms cover the RetailPower website at retailpower.app, the sign-up flow and the cloud service. They do not cover offline tills, shop-PC installers, tax e-invoice or e-receipt submission, or owner-managed payment methods, which are not part of the service today.
0.4 Refunds are dealt with only in the Refund and Cancellation Policy. Personal data is dealt with in the Privacy Policy. Both form part of these terms.

1Who we are and what the words mean

1.1 The service is provided by RetailPower ("we", "us", "the Company"), an Egyptian company.

  • Support email: [email protected]
  • Support on WhatsApp: the username @RetailPower
  • Website: retailpower.app

1.2 In these terms:

  • "Service" means RetailPower: the website, the sign-up flow, the back office, the till in the browser and the related cloud features.
  • "Shop" means the business that signs up. "you" means the Shop, acting through its Owner.
  • "Owner" means the person who created the Shop and signs in with Google or a mobile number.
  • "Staff User" means a person the Owner allows to sign in to the Shop with a store name, username and password.
  • "Shop Data" means everything the Shop or its Staff Users enter or upload: products, stock, sales, returns, customers, suppliers, employees, files and settings.
  • "Plan" means Free (called "Individual" in the app), Standard, Pro or Enterprise, as shown on the Price Page.
  • "Billing Period" means the month, or the year when the Owner chooses yearly billing, for which a Plan is paid.
  • "Price Page" means the public page that lists Plans, limits and prices in Egyptian pounds, as it stands today.
  • "Gateway" means the card payment provider named in clause 8.1.

2The Service

2.1 RetailPower is a cloud point-of-sale and back-office system for retail shops, built first for clothing shops, in Arabic first and English second.
2.2 The Service is new. It may contain errors, features may change, move or be removed, and limits may be adjusted. We will tell you in the app or by message before a change that removes something you use, where we can.
2.3 We make no promise of uptime or availability. We aim to keep the Service running. Outages, slowness and maintenance can happen.
2.4 Do not rely on the Service as the only copy of records the law requires you to keep. Keep your own copies of what you need.
2.5 Tax submissions. The Service does not submit invoices or receipts to the Egyptian Tax Authority. Your tax, VAT and e-invoice duties remain yours. The Service is a tool, not accounting or tax advice.

3Business use only

3.1 The Service is for businesses and professional sellers. By signing up you confirm that you use it for business purposes.
3.2 The person who signs up confirms that they are legally able to enter into contracts and that they have authority to bind the Shop.
3.3 The Service is not intended for children.

4Accounts and roles

4.1 The Owner signs in with a Google account or a mobile number verified by a code. Staff Users sign in with the store name, a username and a password. The store name is permanent and cannot be reused.
4.2 The Owner decides which roles and permissions each Staff User has, and is responsible for everything done with the Shop's accounts, including by Staff Users.
4.3 Keep your sign-in details and your phone secret. Tell us at once if you think an account has been used without permission.
4.4 Information you give us at sign-up and billing must be true and kept up to date.
4.5 A new Shop starts on the Free plan.
4.6 We may refuse or end a sign-up that looks abusive, automated or repeated.

5Your data

5.1 The Shop Data belongs to the Shop. We claim no ownership of it.
5.2 You give us permission to store, copy, process and display the Shop Data only as needed to run the Service for you, to keep it secure, and to meet the law.
5.3 We do not sell Shop Data. We do not send Shop Data to AI services.
5.4 For the personal data of your Staff Users and customers that you enter into the Service, you are the controller and we are the processor, as explained in the Privacy Policy. You are responsible for having a lawful reason and any consent the law requires to enter it, for telling those people how you use it, and for answering their requests.
5.5 If you send marketing messages to customers, you must have their consent first and must keep proof of consent for as long as the law requires. Keep a copy of your consent records before you close your Shop.

6Acceptable use

6.1 You must not:

  • use the Service for anything unlawful, or to record or hide unlawful trade;
  • upload personal data you have no right to hold;
  • attempt to reach another shop's data, test the security of the Service without our written permission, or overload it;
  • copy, resell, rent out or reverse-engineer the Service;
  • share Owner sign-in details or use another person's identity;
  • send spam or marketing messages without the recipient's consent;
  • use automated tools to create sign-ups or to read the Service in bulk.

6.2 We may suspend or restrict an account that breaks this clause (see clause 10).

7Plans

7.1 The Plans, their limits (for example branches, tills, sign-in accounts and products) and their prices are on the Price Page. The Price Page in force when you pay is the one that applies to that payment.
7.2 Free has no end date and no payment. It has limits and leaves some features unavailable. A Plan limit never stops you from recording a sale.
7.3 Starting on Free. A new Shop starts on the Free plan. No card and no payment are asked for at sign-up. No data is deleted when a Shop moves to Free. Features that Free does not include are locked: records already made stay readable, and nothing new can be created in them.
7.4 Enterprise is offered by quote. Its terms are in the written quote and these terms.
7.5 Add-ons, where offered, are priced on the Price Page and renew with the Plan.
7.6 Yearly billing is offered for Standard and Pro. A yearly Plan costs ten months' price of the same Plan billed monthly and is paid once for twelve months. The Price Page shows the yearly price and the amount saved. Yearly billing does not change any other term.

8Payment and cancellation

8.1 Payment by InstaPay transfer until card payment opens. Until card payment opens, a paid Plan is paid by an InstaPay transfer. When you choose a Plan, a billing period and any add-ons, and accept these terms and the Refund and Cancellation Policy, we issue an invoice with its own payment reference and the exact amount. You transfer that amount and write the reference on the transfer, then tell us in the app ("I've paid") with the transfer reference and, if you wish, a picture of the receipt. RetailPower confirms each transfer by hand, and the paid Plan is active once it is confirmed. If we cannot match the transfer, we tell you why in the app and the invoice stays open. We keep the amount, date, reference and status of each payment, and the version of these terms you accepted and the time you accepted it.
8.2 Card payment opens later. Card payment online through Paymob (the "Gateway") will open later, and the website will say when. You will enter your card details on the Gateway's page, not on ours, and we never see or store your full card number. Each Billing Period is paid by its own payment (by InstaPay transfer now, by card once it opens); we do not charge a card automatically. Before a Billing Period ends we issue a renewal invoice in the app. The invoice shows the amount, the length of the Billing Period and a link to these terms. After each payment is confirmed we send a written confirmation in the app.
8.3 Your bank may ask for extra verification, such as a one-time code, when you pay. A payment the bank declines or does not complete is a failed payment (clause 8.5).
8.4 Prices and invoices. Prices are in Egyptian pounds and are shown excluding VAT. The Company is not VAT-registered yet. If that changes, we will say so on the Price Page and on invoices before any VAT is added to a charge. Each payment gets a numbered invoice in the app (Settings, Subscription). Keep your billing details (legal name, address and, if you have one, your tax number) up to date, as an invoice is issued with the details you give us.
8.5 If a payment is not made. We tell the Owner in the app and by message on the due date, on day 3 and on day 7. If it is still unpaid after day 7, the Shop moves to Free. No data is deleted. You can pay later and the paid Plan resumes from the date of payment.
8.6 Cancel at any time. Nothing renews by itself: each Billing Period is paid by its own payment. To cancel, the Owner tells us at the support email or on WhatsApp, or simply does not pay the next renewal invoice (the Shop then moves to Free after the grace period). Cancellation takes effect at the end of the Billing Period already paid. No further charge is made after that. You keep the paid features until then. Money already paid is refunded only as the Refund and Cancellation Policy says.
8.7 Price changes. We may change prices. We give the Owner at least 30 days' notice in the app and by message before a new price applies to your next payment. If you do not accept the new price, cancel before it takes effect and nothing is charged at the new price.
8.8 If you change Plan during a Billing Period, the new Plan and any difference in price apply as the app shows before you confirm.

9Changes to the Service and to these terms

9.1 We may improve, change or remove features, subject to clause 2.2.
9.2 We may change these terms. We give the Owner at least fourteen days' notice of a material change in the app and by message, with a short summary of what changed. The Owner is asked to accept the new version at the next sign-in. Staff Users are never asked and are never blocked from working.
9.3 If you do not accept a change, you may cancel before it takes effect. If you keep using the Service after it takes effect, the new version applies.
9.4 A published version is never edited. A correction is a new version with a new date.

10Suspension, ending the agreement and what happens to data

10.1 By you. You may stop using the Service and cancel at any time (clause 8.6). To close the Shop completely and have its data deleted, the Owner writes to us at [email protected] from the Owner's registered contact details.
10.2 By us. We may suspend or restrict a Shop, or end the agreement, only for: abuse of the Service, a serious breach of these terms, a request from the Owner, or a legal order or legal duty. Where the law and safety allow, we tell the Owner why and what to do. Non-payment does not suspend a Shop: it moves the Shop to Free (clause 8.5).
10.3 Data after a downgrade to Free. The Shop Data is kept. Locked features stay readable.
10.4 Data after closing or ending. After a Shop is closed or the agreement ends, we keep the Shop Data for 90 days, and during that time the Owner can ask us in writing for a copy of it. After that we delete it from our live systems. Copies in backups disappear as the backups expire, within 30 days.
10.5 We may keep what the law requires us to keep, such as our own invoices and payment records, for the period the law requires.

11Backups, availability and support

11.1 Backups, stated clearly. We keep encrypted backups of our databases. Their purpose is to recover the whole Service after a failure on our side. They are not a promise that any particular record you delete or change can be recovered. A restore of one Shop's data on request is available only on Plans that list a restore service on the Price Page, and may be charged for.
11.2 Keep your own copies of the records you need. A backup of ours is not a substitute.
11.3 Availability. There is no uptime commitment (clause 2.3).
11.4 Support. Support is by WhatsApp (the username @RetailPower) and by email at [email protected], in Arabic first. Please give the store name (your support ID) when you write.

12Our rights in the Service

12.1 We own the Service, its software, design and brand. These terms give you only a limited, non-exclusive, non-transferable right to use it while your Shop is active.
12.2 Your name, logo and Shop Data stay yours. On the Free Plan, receipts carry the RetailPower brand.
12.3 If you send us feedback or ideas, we may use them without payment or credit.

13Warranties and liability

13.1 To the extent the law allows, the Service is provided as it is. We do not promise that it will be uninterrupted or free of errors. You remain responsible for checking prices, totals, tax settings and stock figures it produces.
13.2 We are not liable for loss that was not reasonably foreseeable, for lost profit or lost sales, or for loss that comes from your own acts, your Staff Users' acts, your internet or equipment, or causes outside our control.
13.3 Limit. To the extent the law allows, our total liability to a Shop for all claims arising from the Service in any twelve months is limited to the fees the Shop paid us in the twelve months before the event.
13.4 What this does not limit. Nothing here limits liability that Egyptian law does not allow to be limited, such as liability for fraud or gross negligence or for intentional wrongdoing.
13.5 You are responsible for claims by third parties that come from your unlawful use of the Service or from the data you enter, and you will tell us promptly if you receive one.

14Events outside our control

14.1 Neither side is liable for delay or failure caused by events outside its reasonable control, such as power or network failure, an outage of an outside provider, natural events, war, or an act of the authorities. Payment obligations for periods already used remain.

15Notices and records

15.1 We send notices to the Owner in the app and to the email and mobile number the Owner gave us. Keep them current.
15.2 You accept these terms by ticking the box at sign-up (or at re-acceptance). We keep a record of the version, the time and a hashed network address. You agree that this record can be used as evidence.

16Language

16.1 These terms are published in Arabic and English. If the two differ, the Arabic text prevails.

17Governing law and disputes

17.1 These terms are governed by the laws of the Arab Republic of Egypt.
17.2 If there is a dispute, write to us first at [email protected] and give us thirty days to answer and try to settle it.
17.3 If it is not settled, the competent Egyptian courts in Cairo have jurisdiction.

18General

18.1 If part of these terms is found invalid, the rest continues.
18.2 You may not transfer your rights under these terms without our written agreement. We may transfer ours to a successor of the business, and will tell you.
18.3 These terms, the Privacy Policy, the Refund and Cancellation Policy and the Price Page are the whole agreement for the Service.
18.4 Contact: [email protected], and WhatsApp at the username @RetailPower.
